Earlier this year, after approval of Grontmij N.V., the board of Stichting Administratiekantoor van aandelen Grontmij N.V. (the ”Trust Office”) already decided to terminate the administration of ordinary shares Grontmij N.V. In this respect, on 9 May 2012, the General Meeting of Shareholders of Grontmij N.V. resolved to amend the articles of association of the company (proposal II for amendment of the articles of association).
After execution of the deed of amendment of the articles of association, anticipated on 28 June 2012, the following changes will take place:
- The administration of the ordinary shares Grontmij N.V. by the Trust Office will be terminated;
- The depositary receipts for ordinary shares Grontmij N.V. (the “Depositary Receipts”) issued by the Trust Office will be withdrawn with simultaneous delivery of the registered ordinary shares Grontmij N.V.;
- The ordinary shares Grontmij N.V. to be delivered by the Trust Office will be registered in the name of Euroclear Nederland in the shareholder register along with the reference that these shares belong to either the girodepot or the collective depot of securities of the class of shares concerned (the “Deposit Shares”).
Holders of Depositary Receipts who are holding their Depositary Receipts through a financial intermediary do not need to take any action themselves.
Holders of Depositary Receipts who do not hold their Depositary Receipts through a financial intermediary can contact Grontmij N.V. to exchange their Depositary Receipts into Deposit Shares, free of costs, until 1 July 2014.
NYSE Euronext in Amsterdam (“Euronext Amsterdam”) is requested to admit the Deposit Shares to listing and trading on Euronext Amsterdam in the new form that is Deposit Shares with a nominal value of EUR 0.25 as from 28 June 2012. The new ISIN code will be NL0010200358.
Notification substantial holding in the register of the Financial Markets Authority (“AFM”)
Holders of Depositary Receipts who are obliged to notify the AFM of their holding pursuant to the Act on Financial Supervision and who, due to the exchange of Depositary Receipts into Deposit Shares, will be holding Deposit Shares, are obliged to notify the AFM of the aforementioned change. These holders of Deposit Shares also need to notify the AFM that they themselves hold the voting rights attached to these Deposit Shares.
Information for the Euronext Amsterdam Admitted Institutions
In connection with the above the Depositary Receipts as administrated by Euroclear Nederland will be exchanged into Deposit Shares with a nominal value of EUR 0.25 each as of 28 June 2012.
In order for the exchange to take place, in principle, free of charge for the holders of Depositary Receipts, the members of Euronext Amsterdam (the “Members”) will receive a commission of EUR 1.00 per securities deposit account. The Members are requested to provide a statement to ABN AMRO Bank N.V. by 9 July 2012 at the latest stating the number of securities deposit accounts for which they executed the exchange.
